By accessing the Website, you accept and agree to be bound by the terms, conditions, and notices set forth herein, including the Privacy Policy (insert link to Privacy Policy here), which is incorporated herein by this reference (this “Agreement”). To the extent that you have entered into a written agreement with GenesisTeaching or any of its affiliates containing terms that directly conflict with any terms of this Agreement, then the conflicting terms set forth in the written and mutually fully executed agreement shall control. The contents of the Website are protected by copyright and other laws in both the United States and elsewhere. The contents of this Website include both content owned or controlled by the Company and content owned or controlled by third parties and licensed to the Company. The Company authorizes you to view and download a single copy of any material on the Website solely for your personal, noncommercial use. The Website is for your personal, noncommercial use. You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of, use of, or access to the Website.

The Website includes certain pages hosted by third-party service providers, such as GenesisTeaching’s Investor Relations page, which are branded to look like www.genesisteaching.com and perform tasks on behalf of GenesisTeaching (“Branded Sites”). These Branded Sites are governed by this Agreement. The Website may also contain links to other third-party websites, which are governed by the terms of use and privacy policies of their owners and operators (“Linked Sites”). Linked Sites are not under the control of the Company, and the Company is not responsible for the contents thereof. These links are provided to you only as a convenience, and inclusion of a link does not imply endorsement of the Linked Site by the Company or any association with its operators. You acknowledge and agree that the Company shall not be responsible or liable for any damage or loss caused by or in connection with use of or reliance on any content, goods, or services available on or through any Linked Site.

INTERNET FORUMS

In General. The Website from time to time may contain blogs, discussion groups, chat rooms, and other online forums (“Internet Forums”). These are intended to provide users with a valuable resource on selected topics. Some, if not most, of the content found on such Internet Forums is provided by third-party users, and not the Company. The third-party user who is posting to an Internet Forum, and not the Company, is responsible for the content of such posting and for complying with this Agreement.

Standard of Conduct. You agree that you are responsible for your own communications with respect to the Website and for any consequences thereof, and you agree to use the Website and any Internet Forums only to post, send, and receive messages and material that are proper and related to the Website or the particular Internet Forum. By way of example, and not as a limitation, you agree that when using the Website you will not:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;

The content of GenesisTeaching’s blog or any other Internet Forum reflects the thoughts and opinions of the author(s), and does not represent the thoughts, opinions, plans, or strategies of GenesisTeaching. GenesisTeaching undertakes no obligation to update, correct, or modify any statements made by the author(s) of the post. Any and all third-party links or Linked Sites provided by the blog or Internet Forum are not affiliated with, nor endorsed by, GenesisTeaching.

No Endorsement.

The Company does not pre-screen or control the content of any posting to an Internet Forum and, as such, does not endorse, support, represent, or guarantee the truthfulness, accuracy, or reliability of any communication posted or endorse any opinion expressed in any posting. You acknowledge that any reliance on material from the Website will be at your own risk. No Monitoring Obligation:

GenesisTeaching does not exercise control over the information posted on Internet Forums by third parties. With the exception of the specifics outlined in this Agreement, GenesisTeaching bears no responsibility for monitoring Internet Forums to remove inaccurate, offensive, inappropriate, or non-compliant material. However, GenesisTeaching retains the right to monitor any use of the Website for any purpose at any time.

Reserved Company Rights:

Beyond the ability to monitor Internet Forums, GenesisTeaching retains the right, at its discretion, to (1) disclose information as required to comply with relevant policies, laws, regulations, legal procedures, government requests, or similar obligations, and (2) edit, refuse, or remove information or materials, partially or entirely, for any reason, as determined solely by GenesisTeaching.

You can report any communication believed to be in violation of this Agreement by sending an email to [email protected]. If GenesisTeaching identifies a communication allegedly in conflict with this Agreement, it may, at its discretion, investigate the allegation and decide whether to remove or request the removal of the communication. However, GenesisTeaching holds no liability or responsibility for the execution or non-execution of such activities.

Intellectual Property:

The Website is the exclusive property of GenesisTeaching. Unless otherwise specified, the design features, content, including but not limited to information, illustrations, product layouts, icons, navigational elements, artwork, graphics, text, data, audio, software, and infrastructure, are owned by GenesisTeaching, its affiliates, or licensed from third parties by GenesisTeaching. The Website, wholly or in part, is protected by copyright, trademark, service mark, trade name, and other intellectual property and proprietary rights, with all rights reserved.

License:

GenesisTeaching does not claim ownership of content provided, posted, uploaded, input, or submitted to the Website by you or other users. However, by posting or submitting content to the Website, you grant GenesisTeaching a royalty-free, perpetual, irrevocable, non-exclusive license to use your submission in connection with the Website’s operation and use for advertising, marketing, and promotional activities and materials, without compensation to you. This license includes the right to reproduce, modify, publish, edit, translate, distribute, perform, and display the submission, either independently or as part of other works, in any form, media, or technology, whether known or developed in the future, and to sublicense such rights.

Termination:

GenesisTeaching reserves the right, at its sole discretion, to terminate your access to the Website, remove and discard any material posted by you, and may discontinue the operation of the Website, either in whole or in part, for any reason. Such termination may occur without prior notice. Upon termination, GenesisTeaching may immediately deactivate or delete your account, associated information and files, and bar further access to those files or the Website. GenesisTeaching assumes no liability for the execution or non-execution of such activities.

Copyright Concerns:

GenesisTeaching respects the intellectual property of others and requests its users to do the same. GenesisTeaching may, at its discretion, remove or disable access to material on the Website believed to infringe on the rights of others. If you believe your work has been copied in a way that constitutes copyright infringement, please contact GenesisTeaching’s Copyright Agent and provide the required information as outlined in this Agreement.

No Warranties; Limitation of Liability; Disclaimer of Damages:

The Website and its contents are provided “as is” without any warranties, express or implied. GenesisTeaching and its affiliates, as well as third parties associated with the Website, disclaim all warranties to the fullest extent permitted by law. They make no warranties regarding the accuracy, reliability, completeness, or timeliness of the Website or its contents. GenesisTeaching does not guarantee that the Website will operate without errors or that it is free from computer viruses or other harmful items. Your use of the Website is at your own risk. GenesisTeaching and its affiliates, as well as third parties associated with the Website, are not liable for any damages arising from your use or inability to use the Website. This includes, without limitation, direct, indirect, incidental, consequential, special, exemplary, or lost profits, whether based on warranty, contract, tort, or any other legal theory. Miscellaneous:

This Agreement is governed by the internal laws of the State of New Hampshire, USA. You consent to the exclusive jurisdiction and venue of courts in New Hampshire, USA in disputes related to the Website. The use of the Website is unauthorized in any jurisdiction that does not recognize all provisions of this Agreement. If any part of this Agreement is determined to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between you and GenesisTeaching regarding the Website and supersedes all prior or contemporaneous communications, proposals, electronic, oral, or written, between you and GenesisTeaching regarding the Website.
